About the Role:
We are seeking an experienced transaction advisory professional to review buy-side and sell-side Quality of Earnings (QoE) analyses, supporting schedules, and draft reports. This role provides senior-level review and constructive feedback to help ensure deliverables are accurate, well-supported, internally consistent, and clearly presented. Assignments will be offered on an ad hoc, as-needed basis, depending on project demand and consultant availability. There are no guaranteed hours or minimum volume of work. Scope, timing, and compensation will be agreed upon before each assignment.
Key Responsibilities:
Review QoE reports, financial models, and supporting workpapers for accuracy, completeness, and consistency.
Evaluate adjusted EBITDA calculations, including management addbacks, nonrecurring items, owner-related expenses, and pro forma adjustments.
Assess revenue and margin trends, customer concentration, normalized working capital, debt-like items, and other transaction considerations.
Review cash-to-accrual adjustments, revenue recognition, expense cutoff, inventory accounting, and related analyses as applicable.
Trace significant findings and adjustments to supporting documentation and identify gaps in evidence or analysis.
Confirm that conclusions align with the underlying financial information and that assumptions and limitations are clearly disclosed.
Provide prioritized review comments that distinguish substantive issues from presentation improvements.
Discuss findings with the engagement team and review revisions to confirm significant comments have been addressed.
Maintain confidentiality and identify potential conflicts before accepting an assignment.
Required Qualifications:
Significant experience in transaction advisory, financial due diligence, or QoE engagements.
Prior responsibility for reviewing QoE workpapers and reports at the manager, senior manager, director, or partner level.
Strong knowledge of U.S. GAAP and practical experience evaluating accounting issues in privately held businesses.
Demonstrated ability to assess EBITDA adjustments, normalized working capital, and debt-like items.
Advanced Excel skills and the ability to review complex financial schedules efficiently.
Strong written communication, sound judgment, and a practical approach to resolving review findings.
Ability to meet agreed deadlines and communicate availability promptly.
Preferred Qualifications:
Active or Inactive CPA designation.
Experience with middle-market and lower-middle-market transactions, including private equity acquisitions.
Experience with founder-owned businesses, multi-entity operations, and financial records requiring cash-to-accrual conversion.
Background at a public accounting firm or specialized transaction advisory practice.
Working Arrangement:
This role is well suited to an independent consultant or experienced transaction advisory professional seeking flexible, project-based work. Assignments may range from a focused review of selected schedules to a comprehensive review of a draft QoE report and supporting analyses. The primary responsibility is review and feedback. Any additional analysis, preparation, or client participation will be separately defined in the assignment scope.
