Full-time | RemoteThe successful candidate is a practicing lawyer who will serve as senior legal counsel to the procurement and strategic sourcing organization of a Fortune 250 healthcare company, providing legal advice on complex commercial transactions and negotiating vendor agreements.
Key Responsibilities: Act as lead legal counsel to procurement, strategic sourcing, and business leadership, providing legal advice and risk assessment throughout the sourcing and contracting lifecycle. Lead the legal negotiation of complex commercial agreements, master services agreements, statements of work, licensing, SaaS, and vendor contracts across indirect and non-merchandise spend categories. Draft, review, and redline agreements, balancing legal risk, regulatory exposure, and commercial objectives. Set legal positions and fallback authority for key risk provisions, including limitation of liability, indemnification, warranties, IP, data privacy, information security, confidentiality, audit, and termination. Develop and maintain legal playbooks, clause libraries, templates, contracting policies, and escalation protocols for assigned procurement categories. Provide legal review and guidance on RFIs, RFPs, RFQs, and related sourcing documentation. Advise on legal and regulatory developments affecting procurement and supplier arrangements, and update contract standards and templates accordingly. Partner with Legal, Compliance, Privacy, Information Security, Risk Management, Internal Audit, Tax, Finance, and Vendor Management on cross-functional legal issues. Support supplier governance, contract remediation, and dispute escalation, advising on contractual rights, remedies, and performance obligations.
Required Qualifications: Juris Doctor (JD) from an accredited law school is required. This role can only be filled by a licensed attorney. Active membership in good standing in at least one U.S. state bar.15+ years of practice as a lawyer drafting, redlining, and negotiating complex commercial and procurement agreements, in a law firm, in-house legal department, or alternative provider. Demonstrated experience providing legal support to large-scale procurement and sourcing initiatives. Strong command of commercial contracting law, legal risk assessment, and negotiation strategy. Excellent written and verbal communication skills, with the ability to explain legal risk to non-lawyer stakeholders and influence at all organizational levels. Preferred Qualifications:
  • Experience leading highly visible, enterprise-wide legal or contracting initiatives.
  • Experience negotiating indirect procurement and non-merchandise goods and services agreements.
  • In-house or outside counsel experience supporting regulated industries, including healthcare, retail, financial services, insurance, or technology.
  • Experience with Ariba Contract Management or comparable CLM platforms.
