Associate Attorney

About the Role: This role offers the opportunity to advise a diverse client base across multiple industries.

Responsibilities: Advise business clients on legal considerations involved in launching, expanding, and operating businesses. Prepare and negotiate agreements and related commercial documents that support ongoing business growth and risk management. Develop disclosure materials required under applicable federal, state, and international regulations. Manage and coordinate registration and regulatory filing processes across relevant jurisdictions. Counsel clients on relationship matters, including compliance issues, operational disputes, and system governance concerns. Support cross-border transactional matters, private equity transactions, mergers and acquisitions, and other strategic business deals involving franchise brands. Represent franchisors in disputes with current or former franchisees, including motion practice, briefing, discovery, and other litigation-related activities. Provide guidance on trademark matters, licensing structures, distribution models, supply chain arrangements, and vendor contracts.
