Part-Time Contract Attorney — Commercial Contract Drafting Specialist

Hourly Rate: $110-$130 per hour, depending on qualifications and experience.

Role Overview: The ideal candidate is a practical, business-minded attorney with strong contract drafting, redlining, issue-spotting, and client-support skills. This role is well-suited for a solo practitioner, former in-house counsel, former law firm attorney, fractional general counsel, or experienced contract attorney who enjoys varied commercial work and can produce clear, usable work product with limited supervision. The work is not commodity document review. The role requires judgment, precision, and the ability to quickly understand a client’s business objective, identify meaningful legal and commercial risks, and draft documents that are both legally sound and practical to use. Representative Work Work may include drafting, reviewing, revising, and advising on matters such as: Master Services Agreements, Statements of Work, amendments, addenda, and related commercial service agreements; Mutual Non-Disclosure Agreements and confidentiality provisions; Vendor, subcontractor, consulting, staffing, and professional services agreements; Property management agreements, short-term rental management agreements, real estate-related service agreements, and related client correspondence; Independent contractor agreements, employment-related documents, offer letters, separation-related documents, and restrictive covenant provisions; Settlement agreements, releases, demand responses, and business dispute correspondence; Intellectual property ownership, licensing, confidentiality, non-solicitation, limitation of liability, indemnification, insurance, arbitration, venue, and prevailing-party fee provisions; Contract summaries, risk assessments, redline explanations, and practical recommendations for clients; Legal research and issue-spotting as needed in support of commercial transactions and client counseling.

Desired Qualifications: Strong candidates will have: Active law license in good standing in at least one U.S. jurisdiction; A minimum of 7+ years of relevant legal experience preferred; Deep experience drafting and revising commercial agreements and the ability to learn new contract types quickly; Strong written communication skills and careful attention to detail; Ability to produce polished, client-ready work product; Comfort working independently and remotely; Practical judgment regarding risk allocation, business terms, and client objectives; Responsiveness and reliability in a part-time/fractional environment; Experience with small businesses, real estate, property management, professional services, healthcare, technology, or general outside-counsel work is helpful but not required. Must be licensed to practice law in at least one US state. Engagement Structure This is a remote, independent contractor position. The attorney will be paid hourly for approved work performed. The expected volume is flexible, but the firm anticipates having regular work available in the range of approximately 10–20 hours per week, with potential for more for the right person.
