The ideal candidate will have:
3+ years of sophisticated corporate and transactional experience, with a strong focus on mergers and acquisitions, joint ventures, private equity transactions, and other complex corporate matters. Experience working on private equity-sponsored and middle-market transactions is particularly valuable.
Key Responsibilities:
- Draft and negotiate definitive and ancillary transaction documents
- Handle sophisticated mergers and acquisitions
- Advise on private equity-sponsored transactions
- Work on joint ventures and other strategic transactions
- Manage legal due diligence processes from start to finish
- Advise private companies, investors, and portfolio companies on corporate matters
- Assist with debt and equity financings
- Handle entity formation and corporate governance matters
- Draft and negotiate commercial agreements
- Coordinate transactions throughout the full deal lifecycle
- Work directly with partners, clients, opposing counsel, and other deal professionals
- Manage multiple transactions and competing deadlines
- Take on increasing responsibility for deal management and client communication
Qualifications:
- 3+ years of corporate/M&A experience
- Experience within a law firm or similar sophisticated transactional environment
- Strong experience drafting and negotiating transaction documents
- Experience with M&A, private equity, joint ventures, and complex corporate transactions
- Middle-market transaction experience preferred
- Strong legal writing, communication, and problem-solving skillsAbility to quickly understand and navigate complex legal and business issues
- Strong organizational and deal-management skillsAbility to manage multiple matters efficiently
- Team-oriented approach with an interest in contributing to the continued growth of a national corporate practice
- Excellent academic credentialsJ.D. from an accredited law school
- Active bar admission in the jurisdiction where the candidate intends to practice
