The Practice The firm advises buyers, sellers, founders, management teams, investors, and public companies across a broad range of domestic and cross-border corporate transactions, including: Private company mergers and acquisitions Founder and family-owned business sales Strategic acquisitions and corporate carve-outs Stock and asset acquisitions Growth equity and strategic investments Joint ventures and corporate partnerships Cross-border acquisitions and international transactions Public company acquisitions and strategic combinations Corporate restructurings and recapitalizations Many matters involve founder-owned businesses, complex ownership structures, closely held companies, and transactions requiring practical business judgment alongside sophisticated legal execution.
What You'll Do:
You will serve as lead transaction counsel on sophisticated middle-market M&A matters, including:
- Structuring, negotiating, and closing mergers, acquisitions, and divestitures
- Drafting and negotiating LOIs, purchase agreements, disclosure schedules, and ancillary transaction documents
- Leading due diligence and coordinating multidisciplinary transaction teams
- Advising buyers, sellers, boards, and management throughout the transaction lifecycle
- Managing negotiations with opposing counsel and business principals
- Working closely with the firm's securities, tax, finance, employment, and regulatory attorneys on integrated transactions
- Counseling clients on post-closing integration, governance, and strategic growth initiatives
This is a front-line deal role with significant client contact and transaction responsibility.
