Job Summary:
Mercury Systems Legal Department is seeking a Sr. Prin Corporate Counsel to serve as the lead Supply Chain Attorney for a defense contractor at the forefront of complex, mission-critical programs. Job Responsibilities:
Providing legal support, counselling, and advice to senior business officials, contracts professionals, and supply chain personnel on both the “selling side” and “buying” side of the Company’s business, as well as IP-related issues
Providing legal review and guidance on issues related to procurement, logistics, subcontractor and supplier management, and subcontractor and supplier contract negotiations in support of the Company’s U.S. Government and non-U.S.G. contracts
Potentially directing other attorneys and non-attorneys
Drafting and negotiating critical terms directly with customers and suppliers
Maintaining and revising, as necessary, the Company’s standard template purchasing, IP and other supplier-related agreements
Structure, draft, review, and negotiate a wide range of contracts, including purchase agreements, service contracts, supplier agreements, consultant agreements, and real property leases.
Advise on legal risks and business terms of various supply chain arrangements
Establish frameworks, SOPs, and process improvements to help streamline reviews
Ensure compliance with applicable laws and regulations pertaining to supply chain management
Engage with Company trade compliance team to ensure compliance with customs, export controls, sanctions, and trade laws
Support the resolution of disputes or litigation related to supply chain issues
Collaborate with internal stakeholders to develop and implement supply chain strategies and policies
Partner with and train supply chain personnel on terms and conditions and negotiation
Provide contract due diligence support for the Company’s M&A activities
An active DoD secret clearance or the ability to obtain one. US Citizenship is required.
Required Qualifications:
JD degree from an accredited law school and be admitted to practice law in at least one US State.
Typically requires 8+ years’ experience as an attorney; 5+ years’ experience in government contracts with a focus on supply chain
Deep understanding and experience with the FAR, DFARS, and other defense-related government contracting laws, regulations, and practices with particular emphasis on the supply chain
Extensive experience drafting and negotiating defense-related government contract terms, including cost-based, fixed-priced, development, and production contracts and subcontracts
Extensive experience with contract changes and Requests for Equitable Adjustment (REA’s) and disputes and litigation of such contracts
Drafting and negotiating all types of commercial-based contracts and agreements
Drafting and negotiating data rights and all types of IP licensing agreements
Conducting due diligence as part of M&A activities
Proven ability to establish processes and SOPs from scratch
Ability to travel up to 20% as needed.

Fulltime Equivalent Job Grade Salary Range for this position
$115,700.00 - $208,300.00 annual salary for in-office or hybrid employees in FL, GA, IN, AZ, AL, MD or TX, and all remote employees
$129,600.00 - $233,300.00 annual salary for in-office or hybrid employees in VA, CA, NH or MA
$136,500.00 - $245,800.00 annual salary for in-office or hybrid employees in NJ
