LHH Recruitment Solutions is partnering with a respected law firm to recruit a fully remote Corporate Attorney. This position is ideal for an attorney who enjoys serving as a strategic business advisor and working closely with companies on a wide range of corporate and transactional matters. The role offers the opportunity to support sophisticated clients while maintaining the flexibility of a fully remote work environment.
Key Responsibilities: • Advise clients on corporate governance, business operations, and general corporate matters• Draft, review, and negotiate a variety of business agreements, including operating agreements, shareholder agreements, service agreements, and commercial contracts• Assist clients with entity formation, corporate maintenance, mergers, acquisitions, and business restructurings• Conduct legal research and provide practical guidance on corporate law issues• Support due diligence efforts for business transactions and corporate projects• Counsel clients on risk management, contract interpretation, and regulatory compliance matters• Prepare corporate resolutions, meeting minutes, governance documents, and related records• Communicate directly with business owners, executives, and stakeholders regarding ongoing legal matters• Collaborate with fellow attorneys and support staff to ensure timely and efficient client service• Manage multiple client matters while maintaining high quality legal work and meeting established deadlines Qualifications• Juris Doctor degree and active admission to at least one state bar• Prior experience practicing corporate law in a law firm environment• Strong experience drafting, reviewing, and negotiating commercial agreements• Knowledge of business entity formation, governance, and transactional matters• Excellent legal writing, analytical, and problem solving skills• Ability to manage multiple projects and client matters simultaneously• Strong communication and client relationship management skills• Proficiency with legal research platforms and legal technology tools• Ability to work independently in a fully remote setting while maintaining a high level of responsiveness Preferred Experience• Experience supporting small to midsized businesses, private companies, or emerging growth companies• Exposure to mergers and acquisitions, corporate finance, and strategic business transactions• Experience serving as outside general counsel to business clients• Ability to provide practical, business focused legal advice that aligns with client objectives• Experience managing direct client relationships and developing new business opportunities This opportunity is well suited for a corporate attorney seeking a fully remote role with a collaborative law firm, a diverse client base, and the ability to advise businesses on a broad range of corporate and commercial matters.
