Our client is seeking a Securities Transactional Attorney with 5+ years of experience to join its New York City team. This is a hybrid role. What You'll Work OnPublic company disclosure rules and regulations, including the Securities Act of 1933 and the Securities Exchange Act of 1934 Drafting Forms 10-K, 10-Q and 8-KProxy statements for annual and special shareholder meetings Drafting Forms 3, 4 and 5Familiarity with short-swing profit rules Advising public company insiders and public companies on trading plans General corporate and corporate governance work for public companies, such as drafting board resolutions, policies and press releases Public and private offerings of securities Knowledge of national securities exchange listing rules
