Mid-Level Corporate Transactional Associate

Overview: Opportunity to assume significant responsibility in complex transactional matters for key clients within a growing local and global team. Expect to be involved with a variety of assignments and gain hands-on experience across disciplines including cross-border mergers and acquisitions, private equity, debt finance, capital markets, joint ventures, strategic alliances, commercial contracts, securities offerings, and corporate governance. Responsibilities include advising clients on mergers and acquisitions, joint ventures, and other corporate transactional matters; transaction management; due diligence; and assisting with client relationship management. Required professional experience includes M&A, dispositions, auctions, carve-out transactions, joint ventures, and/or cross-border transactions. Demonstrated ability is required to draft purchase agreements, ancillary documents, and third-party legal opinions; coordinate domestic and cross-border transaction teams; manage due diligence and data room processes; and negotiate aspects of corporate transactions.
