Tax Counsel - Washington D.C. Licensed

Key responsibilities: Design and implement tax-efficient structures for funds and transactions across the portfolio Conduct tax diligence and negotiate tax representations, covenants, and indemnities for M&A transactions Write internal memos for senior leadership and collaborate with outside tax counsel and accountants on complex tax issues

Required qualifications: J.D. and currently licensed to practice in good standing in a U.S. jurisdiction 7+ years of tax experience with substantial fund, entity, and transaction structuring work Meaningful experience in the tax side of M&A transaction structuring and post-closing obligations Experience with venture financing tax mechanics, QSBS planning, and equity compensation structuring Demonstrated sound judgment and the ability to make independent decisions under deal pressure
