Washington D.C. Licensed Assistant General Counsel

Key responsibilities: Oversee day-to-day management of financing and M&A transactions, ensuring smooth execution from LOI to closing Negotiate purchase agreements and manage diligence processes while advising on risk posture Collaborate with founders, boards, and outside counsel to facilitate complex deal structures and governance mechanics

Required qualifications: J.D. and currently licensed to practice in good standing in the U.S 8+ years of legal experience with substantial M&A and venture financing work, both in-house and at a strong corporate practice Demonstrated experience managing sell-side M&A processes and venture financings across various stages Ability to exercise independent judgment and escalate issues appropriately under deal pressure Proactive, team-oriented attitude with a strong track record of getting things done effectively
